These Terms & Conditions (“Terms”) govern your use of the PerQR application and services (the “Service”) operated by Futurex Inc. (“we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.
These Terms apply to:
Vendors – businesses, organizers, or entities who create and manage events on PerQR.
Guests – individuals who participate in Vendor events using a PerQR QR code or Guest Pass.
Part A – Vendor Terms
1. Accounts
You must be at least 18 years old to create a Vendor account.
You agree to provide accurate, complete, and up-to-date information when registering.
You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
2. Vendor Responsibilities
You are solely responsible for the content you create and upload (event details, images, guest lists).
You must comply with all applicable data privacy laws (e.g., Philippine Data Privacy Act of 2012, GDPR if applicable).
You must obtain valid consent before collecting or processing Guest data.
You must not use the Service for unlawful or harmful purposes.
3. Data and Privacy
Vendors act as Data Controllers with respect to Guest information.
Futurex Inc. acts as Data Processor, providing the platform and processing data on Vendors’ behalf.
Part B – Guest Terms
4. Guest Access and Use
Guests may use PerQR solely for participation in Vendor events.
Your Guest Pass or QR code is personal to you and must not be shared or misused.
5. Personal Data
Vendors may request your name, email, or mobile number to manage your participation or send notifications.
Providing this information is optional unless required by the Vendor for event participation.

6. Guest Responsibilities
You must not tamper with or duplicate QR codes.
You must not use the Service for unlawful, fraudulent, or disruptive activity.
Part C – General Terms (Applies to Vendors and Guests)
7. Acceptable Use
You agree not to:
Access the Service by unauthorized means or attempt to bypass security.
Upload or transmit malware, spam, or harmful content.
Reverse engineer, decompile, or tamper with any part of the Service.
Interfere with or disrupt the security, integrity, or performance of the Service.
8. Intellectual Property
The Service and all associated content, features, and technology remain the property of Futurex Inc. and its licensors.
You may not reproduce, distribute, or create derivative works without written consent.
9. Termination
We may suspend or terminate your account or access to the Service immediately if you breach these Terms, misuse the Service, or engage in harmful conduct. Certain obligations (intellectual property, disclaimers, and liability limitations) survive termination.
10. Disclaimers and Limitation of Liability
The Service is provided “as is” and “as available.”
We do not guarantee the Service will be error-free, secure, or uninterrupted.
To the maximum extent permitted by law, Futurex Inc. and its affiliates are not liable for indirect, incidental, special, or consequential damages, including lost profits or data.
11. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of the Philippines.
Disputes shall first be resolved amicably. If unresolved, they will be subject to the jurisdiction of the proper courts of Makati City, Philippines.
12. Changes to These Terms
We may update these Terms from time to time. If changes are material, we will provide notice (e.g., via app notification or email). Continued use of the Service after changes take effect constitutes acceptance.
